OwlTerm Terms of Service

These Terms of Service (“Terms”) are a legally binding agreement between you and OWLTERM TECHNOLOGIES INC., a Delaware corporation (“OwlTerm,” “we,” “us,” or “our”).
These Terms govern your access to and use of:
- the OwlTerm desktop application;
- OwlTerm websites, including https://www.owlterm.com;
- OwlTerm cloud services, APIs, dashboards, AI features, and related services;
- documentation, software updates, beta features, and support services;
collectively, the “Service.”
By downloading, installing, accessing, or using the Service, you agree to these Terms. If you do not agree to these Terms, do not access or use the Service.
If you use the Service on behalf of a company, employer, or other organization, you represent that you have authority to bind that organization to these Terms. In that case, “you” includes both you and that organization.
1. Eligibility
You must be at least 18 years old and legally capable of entering into a binding contract to use the Service.
By using the Service, you represent and warrant that:
- you meet these eligibility requirements;
- the information you provide is accurate and complete;
- you are not prohibited from using the Service under applicable law; and
- if you use the Service for an organization, you are authorized to do so.
2. Description of the Service
OwlTerm is an AI-powered terminal and operations workspace that may enable users to:
- create and manage local terminal sessions;
- connect to remote systems using protocols such as SSH, SFTP, PowerShell, and WinRM;
- save and organize hosts, credentials, groups, sessions, and connection settings;
- request AI-generated commands, scripts, explanations, reports, and automation plans;
- permit AI features to interact with active terminal sessions;
- create, review, execute, and monitor Jobs across one or more systems;
- transfer, create, modify, or delete files;
- process terminal output, files, system information, and related context;
- use cloud features, account dashboards, credits, and support services.
Features may vary by operating system, account, plan, location, version, or release stage.
We may add, remove, restrict, suspend, or modify features at any time.
3. Beta, Preview, and Early-Access Services
The Service, or certain parts of it, may be identified as alpha, beta, preview, experimental, early-access, evaluation, or pre-release features (“Beta Services”).
Beta Services:
- may be incomplete, unstable, or unavailable;
- may contain errors, security vulnerabilities, or defects;
- may generate incorrect or unsafe results;
- may corrupt, alter, disclose, or lose data;
- may behave differently after an update;
- may be changed or discontinued without notice;
- may not receive maintenance, support, or compatibility updates.
Beta Services are provided for evaluation and testing. You must not rely on Beta Services for production-critical operations, emergency response, legal or regulatory compliance, data backup, disaster recovery, or any activity where failure could cause substantial harm.
We have no obligation to make a Beta Service generally available or to preserve data, configurations, Jobs, outputs, or functionality associated with a Beta Service.
4. Accounts and Account Security
Some features require an OwlTerm account.
You are responsible for:
- maintaining the confidentiality of your account credentials;
- protecting authentication tokens, recovery methods, API keys, device keys, and linked accounts;
- securing devices on which OwlTerm is installed;
- controlling who may use your account or organization account;
- promptly revoking access for users who are no longer authorized;
- all activity occurring through your account, except to the extent caused directly by our breach of these Terms.
You may not share an individual account with unauthorized users or permit another person to impersonate you.
You must promptly notify us at support@owlterm.com if you suspect:
- unauthorized access;
- compromise of an account or device;
- theft or disclosure of credentials;
- misuse of the Service;
- a security vulnerability involving OwlTerm.
We may require you to reset credentials, revoke sessions, install an update, or take other reasonable security measures.
5. Authorized Systems and Credentials
You may use OwlTerm only with systems, devices, networks, accounts, files, services, and data that:
- you own; or
- you have express authorization to access, control, test, modify, or automate.
You represent and warrant that you possess all permissions required for every:
- terminal connection;
- hostname or network address;
- credential or private key;
- file transfer;
- command or script;
- privilege level;
- Job target;
- database or external service;
- item of data processed through the Service.
Possession of a credential, address, key, token, session, or technical ability to access a system does not by itself establish authorization.
You are responsible for complying with any policies, contracts, laws, and security requirements that apply to the systems and data you access.
6. AI Features and Automated Execution
The Service may use artificial intelligence, machine-learning systems, and third-party large language models to generate or perform actions (“AI Features”).
AI Features may:
- analyze prompts and terminal context;
- read terminal output;
- propose commands or scripts;
- interact with command-line or text-based programs;
- create or modify files;
- generate Job plans;
- select or interact with terminal sessions;
- execute approved actions;
- execute actions automatically within settings or parameters selected by you;
- summarize results.
Depending on the mode, configuration, or feature you select, OwlTerm may ask for approval before an individual action, may ask you to approve a broader plan, or may execute actions automatically within parameters you authorize.
An approval request is a safety aid, not a guarantee that an action is safe, correct, complete, reversible, or appropriate.
You are responsible for:
- selecting an appropriate operating mode;
- understanding the difference between manual, approval-based, and automatic operation;
- reviewing plans, commands, scripts, targets, variables, and settings;
- restricting the permissions available to OwlTerm;
- monitoring execution where appropriate;
- stopping execution when unexpected behavior occurs;
- independently verifying results;
- correcting or recovering from actions initiated through your account.
You acknowledge that AI Features may:
- misunderstand instructions or terminal context;
- rely on incomplete, outdated, or misleading information;
- produce insecure, incorrect, or destructive commands;
- select an unintended terminal, file, directory, host, or target;
- repeat or duplicate an action;
- omit necessary steps;
- incorrectly report success;
- fail to detect an error;
- partially complete a task;
- produce different results from the same instruction;
- generate content that resembles third-party content;
- recommend actions that violate your policies or legal obligations.
You must not treat AI-generated output as professional, security, legal, financial, compliance, or safety advice.
7. Multi-Host Jobs and Operational Risks
OwlTerm may allow you to execute Jobs across multiple systems.
Multi-host execution may amplify the effect of an error. A mistake in a command, variable, target selection, credential, concurrency setting, retry policy, or error policy may affect many systems at once.
Jobs may also result in:
- partial execution;
- inconsistent state between systems;
- repeated execution after a timeout or retry;
- simultaneous failures;
- unexpected resource consumption;
- service interruption;
- configuration drift;
- data loss or corruption;
- failure to roll back completed actions.
Before running a Job, you are responsible for reviewing:
- all selected hosts and groups;
- the action sequence;
- commands and scripts;
- variables and generated values;
- credentials and privilege levels;
- concurrency limits;
- timeout and retry settings;
- error-handling behavior;
- expected and unexpected outputs;
- rollback and recovery procedures.
OwlTerm does not guarantee that Jobs are transactional, atomic, idempotent, or automatically reversible.
Stopping or cancelling a Job may not undo actions that have already started or completed.
8. Backups, Testing, and Operational Safeguards
Before using OwlTerm on important, sensitive, or production systems, you are responsible for taking reasonable safeguards, including where appropriate:
- maintaining current and independently tested backups;
- verifying that systems can be restored;
- testing commands and Jobs in a non-production environment;
- using least-privilege credentials;
- limiting network and system access;
- reviewing selected targets;
- using change-management procedures;
- establishing rollback and recovery plans;
- monitoring system availability and performance;
- protecting secrets and credentials;
- obtaining organizational approval.
OwlTerm is not a substitute for:
- backup or disaster-recovery systems;
- endpoint protection;
- network security controls;
- identity and access management;
- monitoring or alerting systems;
- configuration management;
- professional security review;
- independent change approval.
You assume the risk of using the Service without appropriate safeguards.
9. Secrets and Sensitive Data
Terminal sessions and files may contain sensitive information, including:
- passwords;
- private keys;
- authentication tokens;
- session cookies;
- environment variables;
- customer information;
- confidential business data;
- source code;
- database records;
- personal information.
You are responsible for determining what information may be processed through the Service.
You must not intentionally submit passwords, private keys, access tokens, or other secrets to AI Features unless:
- doing so is necessary and supported by the Service;
- you are authorized to provide the information; and
- you have determined that the Service and its third-party providers are appropriate for that information.
You are responsible for:
- secret management;
- credential rotation;
- access controls;
- data classification;
- redaction;
- retention requirements;
- compliance with confidentiality obligations.
Unless we expressly agree otherwise in writing, you must not use the Service to process:
- classified government information;
- payment-card authentication data;
- information subject to export restrictions that prohibit such processing;
- protected health information requiring a HIPAA business associate agreement;
- information whose processing requires security or contractual guarantees not expressly provided by OwlTerm.
10. Customer Content
“Customer Content” includes information you or your authorized users submit to, transmit through, generate with, or make available to the Service, including:
- prompts and messages;
- commands and scripts;
- terminal context and output;
- files and file contents;
- host and connection information;
- Job definitions and variables;
- generated plans, reports, and results;
- support communications;
- configuration and account information.
As between you and OwlTerm, you retain your rights in Customer Content, subject to the rights of third parties and applicable law.
You grant OwlTerm a worldwide, non-exclusive, limited license to host, copy, transmit, process, format, display, and otherwise use Customer Content as reasonably necessary to:
- provide the Service;
- perform actions you request;
- maintain and secure the Service;
- prevent abuse and fraud;
- diagnose technical problems;
- provide support;
- comply with law and enforce these Terms.
This license ends when the relevant Customer Content is deleted from our active systems, subject to reasonable technical retention periods, backups, legal obligations, security records, and other provisions of these Terms and the Privacy Policy.
You represent and warrant that:
- you have all rights and permissions required to provide Customer Content;
- our processing of Customer Content as described in these Terms will not violate the rights of another person;
- Customer Content and your use of it comply with applicable law.
11. Processing by AI and Third-Party Providers
To provide AI Features, the Service may transmit selected information to OwlTerm systems and third-party service providers.
Depending on the feature and your use, transmitted information may include:
- prompts;
- commands;
- terminal output;
- filenames and file content;
- directory paths;
- system and software information;
- Job plans and results;
- error messages;
- other context relevant to a request.
You acknowledge that terminal output and other context may contain personal, confidential, or sensitive information even when you did not intentionally include it.
Third-party providers may process information according to their agreements with OwlTerm and applicable law. Service availability and output may depend on those providers.
Our collection, use, disclosure, retention, and deletion of personal information are further described in the OwlTerm Privacy Policy.
The Privacy Policy, product settings, and any applicable written agreement will describe whether and under what circumstances content may be retained, reviewed by authorized personnel, or used to improve services or models.
You must not rely on descriptions such as “anonymous” or “redacted” unless the Service expressly confirms that the applicable information has been processed in that manner.
12. AI-Generated Output
Subject to these Terms and any third-party rights, OwlTerm does not claim ownership of AI-generated output created specifically in response to your use of the Service.
However:
- AI-generated output may not be unique;
- other users may receive identical or similar output;
- output may not qualify for copyright or other intellectual-property protection;
- output may contain errors or material resembling third-party content;
- we do not guarantee that output is non-infringing;
- output may be subject to third-party licenses or restrictions.
You are responsible for reviewing output and determining whether you may use, modify, publish, license, distribute, or execute it.
13. Acceptable Use
You may not use the Service to:
- access or attempt to access systems without authorization;
- obtain, test, guess, intercept, or misuse another person’s credentials;
- bypass authentication, authorization, rate limits, or security controls;
- deploy malware, ransomware, spyware, credential-stealing software, botnets, or destructive code;
- conduct phishing, fraud, impersonation, or social-engineering activity;
- disrupt, damage, overload, or interfere with systems or networks;
- perform denial-of-service activity;
- conceal unlawful access or activity;
- conduct unauthorized vulnerability exploitation or penetration testing;
- mine cryptocurrency on systems without authorization;
- violate privacy, confidentiality, intellectual-property, or data-protection rights;
- violate export-control, sanctions, or trade laws;
- distribute unlawful, infringing, or malicious content;
- circumvent credits, billing, usage controls, or technical restrictions;
- resell, sublicense, or provide the Service as a service bureau unless we expressly authorize it;
- scrape, copy, or extract the Service or its models except as permitted by law;
- reverse engineer or decompile the Service, except to the extent such a restriction is prohibited by applicable law;
- use the Service to develop or train a substantially competing product by systematically extracting protected Service output or functionality;
- misrepresent the origin or reliability of AI-generated output;
- use the Service in any manner that creates an unreasonable legal, security, operational, or reputational risk to OwlTerm or others.
We may investigate suspected violations and preserve or disclose information where reasonably necessary to enforce these Terms, protect users, prevent harm, or comply with law.
14. High-Risk Uses
The Service is not designed, tested, or warranted for use in circumstances where failure or incorrect operation could reasonably cause death, serious physical injury, severe environmental harm, or catastrophic property damage.
You may not rely on the Service as the primary control or decision system for:
- medical diagnosis, treatment, or life-support systems;
- emergency-response dispatch or safety systems;
- nuclear facilities;
- aviation, spacecraft, or autonomous vehicle control;
- weapons systems;
- public utility safety controls;
- critical industrial safety systems;
- other safety-critical environments.
You must maintain qualified human supervision and independent safety controls for any permitted use that may affect health, safety, critical infrastructure, or essential services.
15. Software License
Subject to these Terms, OwlTerm grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to install and use the OwlTerm desktop application for your internal personal or business purposes.
You may not:
- copy or redistribute the application except as expressly permitted;
- rent, lease, sell, sublicense, or host it for third parties;
- modify or create derivative works from proprietary components;
- remove proprietary, legal, or security notices;
- interfere with licensing, security, or usage controls;
- use the application in violation of these Terms.
This license does not transfer ownership of the Service or any OwlTerm intellectual property.
16. Open-Source Software
The Service may include open-source software and third-party components.
Those components may be governed by separate license terms. To the extent an applicable open-source license conflicts with these Terms, the open-source license controls solely with respect to the relevant component.
Required notices may be provided in the application, documentation, source distribution, or another location we designate.
17. Intellectual Property
Except for Customer Content and third-party components, the Service and all related intellectual property are owned by OwlTerm or its licensors.
This includes:
- software and source code;
- user interfaces;
- designs and graphics;
- trademarks and logos;
- documentation;
- website content;
- proprietary workflows;
- compilations and databases;
- Service-generated analytics and operational information that do not identify you.
No rights are granted except those expressly stated in these Terms.
“OwlTerm,” OwlTerm logos, and associated branding may not be used without our prior written permission.
18. Feedback
If you provide ideas, suggestions, bug reports, feature requests, or other feedback, you grant OwlTerm a worldwide, perpetual, irrevocable, transferable, sublicensable, royalty-free license to use, reproduce, modify, distribute, commercialize, and otherwise exploit that feedback without restriction or compensation.
This section does not grant us ownership of Customer Content merely because it is submitted in a support request.
19. Cloud Services, Limits, and Credits
Certain features may depend on cloud infrastructure and may be subject to:
- credit balances;
- request limits;
- storage limits;
- token or context limits;
- host and Job limits;
- concurrency limits;
- model availability;
- account eligibility;
- fair-use controls;
- geographic or technical restrictions.
We may enforce or change limits to maintain security, performance, availability, legal compliance, or fair access.
Credits:
- are a limited contractual right to use eligible Service features;
- have no cash value;
- may not be transferred, sold, or exchanged;
- may expire as disclosed when issued;
- may be promotional and subject to additional conditions;
- may be revoked if obtained through fraud, abuse, or error.
Except as required by law or expressly stated in a written refund policy, credits are non-refundable.
During a beta period, we may issue, change, or withdraw free credits at our discretion.
20. Paid Services
If we offer paid plans, subscriptions, or credit purchases, additional pricing and billing terms presented at purchase will form part of these Terms.
You authorize us and our payment providers to charge the applicable payment method for purchases, recurring subscriptions, taxes, and disclosed fees.
Unless otherwise stated:
- subscriptions renew automatically for the displayed billing period;
- you may cancel future renewal through the provided account or billing tools;
- cancellation takes effect at the end of the current paid period;
- previously charged amounts are non-refundable except as required by law;
- failed payment may result in suspension or downgrade;
- plan changes may affect limits and feature access.
Before charging you, we will disclose the applicable price, renewal period, cancellation method, and material purchase terms.
We may change prices prospectively by providing notice required by applicable law.
You are responsible for applicable taxes other than taxes based on our net income.
21. Third-Party Services
The Service may interoperate with third-party products and services, including:
- operating systems;
- remote servers;
- cloud providers;
- identity providers;
- payment processors;
- AI model providers;
- software repositories;
- networking services;
- third-party APIs.
We do not control third-party services and are not responsible for their:
- availability;
- security;
- accuracy;
- compatibility;
- conduct;
- terms;
- data practices;
- modifications or discontinuation.
Your use of third-party services may be governed by separate agreements between you and the applicable provider.
The Service may stop working with a third-party service if that provider changes or discontinues its product.
22. Updates and Service Changes
We may provide patches, security fixes, upgrades, or other updates.
Updates may:
- install automatically where permitted by your settings and operating system;
- modify or remove features;
- change file formats or compatibility;
- be required for continued access;
- reset or migrate certain settings.
You are responsible for installing critical security updates within a reasonable period.
We may suspend, restrict, or discontinue all or part of the Service for:
- maintenance;
- security reasons;
- legal compliance;
- provider outages;
- technical limitations;
- business reasons.
We do not guarantee that a specific feature, operating system, AI model, protocol, integration, or version will remain available.
23. Privacy
Our Privacy Policy explains how we collect, use, disclose, retain, and protect personal information.

You are responsible for determining whether your use of the Service complies with privacy, employment, monitoring, data-transfer, and confidentiality laws applicable to you.
If you use OwlTerm to process information about other people, you are responsible for providing any required notices, obtaining required consents, and establishing a valid legal basis for that processing.
24. Security
We may use administrative, technical, and organizational measures designed to protect the Service and information processed by it.
However, no service, device, network, transmission, storage system, or security measure is completely secure.
We do not guarantee that:
- the Service will prevent all unauthorized access;
- vulnerabilities will never occur;
- data will never be intercepted, altered, lost, or disclosed;
- third-party systems will be secure;
- generated commands will follow security best practices.
You are responsible for maintaining independent security controls appropriate to your systems and data.
Security reports should be sent to support@owlterm.com. You must not exploit a suspected vulnerability beyond what is reasonably necessary to document and report it.
25. Data Export, Retention, and Deletion
The Service may provide features allowing you to export certain Jobs, configurations, reports, or account information.
You are responsible for exporting information you wish to retain before terminating your account or before a Beta Service is discontinued.
Following account termination, we may delete or disable access to Customer Content in accordance with our retention practices.
Certain information may remain temporarily in:
- backups;
- security logs;
- fraud-prevention records;
- billing and tax records;
- legal-compliance records;
- support records.
We may retain information when reasonably necessary to comply with law, resolve disputes, enforce agreements, protect the Service, or prevent abuse.
We do not guarantee recovery of deleted information.
26. Suspension and Termination
You may stop using the Service at any time.
We may suspend, limit, or terminate your access if we reasonably believe that:
- you violated these Terms;
- your account has been compromised;
- your activity creates a security or legal risk;
- suspension is necessary to prevent harm;
- you failed to pay an amount due;
- we are required to do so by law;
- continued provision of the Service is no longer commercially or technically practical.
Where reasonably practicable, we may provide notice and an opportunity to correct a violation. We are not required to provide advance notice in urgent security, abuse, fraud, or legal circumstances.
Upon termination:
- your right to use the Service ends;
- active sessions and Jobs may be stopped;
- you may lose access to Customer Content;
- outstanding payment obligations remain due.
Sections that by their nature should survive termination will survive, including provisions concerning ownership, feedback, disclaimers, liability, indemnification, disputes, and general terms.
27. Export Controls and Sanctions
You may not access, use, export, reexport, release, transfer, or make available the Service in violation of applicable export-control, sanctions, or trade laws.
You represent and warrant that:
- you are not a person or entity prohibited from receiving the Service;
- you are not acting on behalf of a sanctioned or prohibited party;
- you are not located in a jurisdiction where providing the Service is prohibited;
- you will not use the Service for prohibited end uses;
- you will not provide access to a prohibited end user.
You are responsible for obtaining any required licenses, authorizations, or approvals.
We may restrict access based on location, identity, ownership, payment information, network information, or other compliance indicators.
28. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS,” “AS AVAILABLE,” AND “WITH ALL FAULTS.”
OWLTERM AND ITS AFFILIATES, LICENSORS, AND SERVICE PROVIDERS DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF:
- MERCHANTABILITY;
- FITNESS FOR A PARTICULAR PURPOSE;
- TITLE;
- NON-INFRINGEMENT;
- ACCURACY;
- RELIABILITY;
- SECURITY;
- AVAILABILITY;
- QUIET ENJOYMENT.
WE DO NOT WARRANT THAT:
- THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE;
- AI OUTPUT WILL BE CORRECT, SAFE, COMPLETE, OR SUITABLE;
- COMMANDS OR JOBS WILL PRODUCE AN EXPECTED RESULT;
- EXECUTION WILL OCCUR ON THE INTENDED TARGET;
- ERRORS WILL BE DETECTED;
- DATA WILL NOT BE LOST, CORRUPTED, OR DISCLOSED;
- A JOB CAN BE CANCELLED OR REVERSED;
- THE SERVICE WILL MEET YOUR LEGAL, SECURITY, OR COMPLIANCE REQUIREMENTS;
- DEFECTS WILL BE CORRECTED;
- THIRD-PARTY SERVICES WILL REMAIN AVAILABLE.
YOU USE THE SERVICE, AI OUTPUT, COMMANDS, FILE OPERATIONS, CONNECTIONS, AND JOBS AT YOUR OWN RISK.
Some jurisdictions do not allow certain warranty exclusions, so some exclusions may not apply to you.
29. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OWLTERM AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY:
- INDIRECT;
- INCIDENTAL;
- SPECIAL;
- EXEMPLARY;
- CONSEQUENTIAL;
- PUNITIVE;
DAMAGES, OR FOR ANY LOSS OF:
- PROFITS;
- REVENUE;
- BUSINESS;
- GOODWILL;
- USE;
- DATA;
- CREDENTIALS;
- BUSINESS OPPORTUNITIES;
OR FOR:
- DOWNTIME;
- BUSINESS INTERRUPTION;
- SYSTEM-RESTORATION COSTS;
- INCIDENT-RESPONSE COSTS;
- SUBSTITUTE SERVICES;
- SECURITY BREACHES;
- UNAUTHORIZED ACCESS;
- DATA CORRUPTION OR DELETION;
- INCORRECT OR DESTRUCTIVE COMMANDS;
- FAILURE OR PARTIAL COMPLETION OF JOBS;
- DUPLICATE EXECUTION;
- THIRD-PARTY CLAIMS;
- FAILURE TO MEET A REGULATORY OR CONTRACTUAL OBLIGATION;
ARISING FROM OR RELATING TO THE SERVICE, EVEN IF WE HAVE BEEN ADVISED THAT SUCH DAMAGES ARE POSSIBLE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF:
- THE AMOUNT YOU PAID TO OWLTERM FOR THE SERVICE DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR
- ONE HUNDRED U.S. DOLLARS (US$100).
The limitations in this section apply regardless of the theory of liability and even if a remedy fails of its essential purpose.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.
30. Indemnification
To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless OwlTerm and its affiliates, officers, directors, employees, contractors, licensors, and service providers from claims, actions, investigations, liabilities, losses, judgments, damages, penalties, costs, and reasonable legal fees arising from or relating to:
- your use of the Service;
- Customer Content;
- systems, networks, accounts, or data accessed by you;
- commands, scripts, Jobs, or files created or executed through your account;
- your lack of authorization to access a system or data;
- your credentials or account users;
- your violation of law;
- your violation of third-party rights;
- your violation of these Terms;

We may assume control of the defense of a covered claim. You agree to reasonably cooperate and may not settle a claim in a manner that admits liability by OwlTerm or imposes obligations on OwlTerm without our written consent.

31. Governing Law and Venue
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles.
Subject to any mandatory rights available under applicable law, any dispute arising from or relating to these Terms or the Service must be brought exclusively in the state or federal courts located in the State of Delaware.
You and OwlTerm consent to the personal jurisdiction and venue of those courts.
The United Nations Convention on Contracts for the International Sale of Goods does not apply.
32. Changes to These Terms
We may update these Terms from time to time.
If a change is material, we will provide reasonable notice through one or more of the following:
- email;
- an in-app notice;
- an account notification;
- a notice on our website.
The updated Terms will state their effective date.
Changes will apply prospectively unless a retroactive change is required by law or is expressly agreed to by you.

34.4 Severability

We are not responsible for delays or failures caused by events beyond our reasonable control, including natural disasters, war, civil unrest, labor disputes, internet or utility failures, cyberattacks, government actions, provider outages, or failures of third-party infrastructure.

These Terms do not create a partnership, franchise, joint venture, fiduciary, employment, or agency relationship between you and OwlTerm.
34.8 No Third-Party Beneficiaries
Except as expressly stated, these Terms do not create rights for third parties.

Headings are provided for convenience and do not affect interpretation.
34.10 Language
If these Terms are translated, the English version will control to the extent permitted by law.
